Notification of transactions of directors, persons discharging managerial responsibility or connected persons in accordance with DTR 3.1
The following Directors and Persons Discharging Managerial Responsibility ("PDMRs") notified the Company on 1 June 2010 that they had been conditionally awarded, on 1 June 2010, by the Trustee of the Company's Employees' Benefit Trust, nil cost conditional awards under the Company's Executive Share Award Plan 2008 in respect of the numbers of US$0.10 ordinary shares in the Company as set out below. The release of shares is subject to satisfaction of the applicable performance condition.

(Note 1) The conditional awards of a fixed number of EPS-based performance shares are subject to testing against the Company's three-year adjusted earnings per share growth.
(Note 2) A new TSR-based performance condition was adopted by the Remuneration Committee for the TSR-based component of awards made with effect from 1 June 2010. The above specified number of TSR-based performance shares have been awarded for each £10 million of additional shareholder value created, defined as being the amount by which the growth in the Company's market capitalisation plus net equity cash flows exceeds the median growth of a weighted peer group index, over a three to five year performance period.
